Terms

Last updated: October 17, 2026

1. Scope

These Terms cover: (a) your use of ramz-ai.com, and (b) any engagement where RAMZAI designs, builds, or operates a system for you (a "fixed-scope build" or an "ongoing retainer," per the Services page). They do not cover Chom or CallRamzai as products — using either one is governed by that product's own terms, not this page.

2. What governs an actual engagement

For any paid engagement, the specific scope, timeline, deliverables, and price are set out in a proposal or statement of work (SOW) that both sides agree to separately — per the site's own "What happens next" process (review → call → proposal). Where that SOW says something different from this page, the SOW controls for that engagement.

3. Confidentiality

We'll sign an NDA before a discovery conversation if you ask for one, per the Contact page FAQ. Absent a separate NDA, we still treat anything you share about your business, workflows, or data as confidential, and we don't use it for anything other than scoping and delivering your engagement.

4. Ownership

This is the core promise on the About and Services pages, and it's a term here too: what we build for you runs on your accounts, your data, your infrastructure. You own the system we deliver for your engagement, including any code written specifically for it, once it's paid for in full. RAMZAI retains ownership of its own pre-existing tools, internal patterns, and anything built for general reuse across clients (not specific to your data or business) — the same way most studios separate client deliverables from their own toolkit.

5. Payment

The amount and schedule for a specific engagement are set in its SOW/invoice. Unless that SOW says otherwise: invoices are due within 30 days of the invoice date, late payments may accrue interest at 1.5% per month (or the maximum allowed by law, if lower), and we may pause work on an engagement if payment is more than 30 days overdue.

6. Warranties & disclaimers

We build systems to the discipline described across this site — integration-tested, checked before anything commits. We don't promise a specific business outcome (more revenue, fewer missed calls, etc.) as a contractual guarantee; those are the results we aim for, not a warranty. Outside of what's explicitly agreed in an SOW, our services and deliverables are provided "as is," without warranties of any kind, express or implied.

7. Limitation of liability

RAMZAI's total liability for any claim arising from an engagement is limited to the fees you paid RAMZAI for that engagement in the 12 months before the claim arose. Neither party is liable to the other for indirect, incidental, or consequential damages — like lost profits or lost data — even if advised they were possible.

8. Termination

A fixed-scope build is a one-time project, defined by its SOW; a retainer is month-to-month — either side can end it with 30 days' written notice. Confidentiality (§3) and ownership (§4) survive termination.

9. Governing law

These Terms are governed by the laws of the jurisdiction in which RAMZAI is established or registered to do business, without regard to its conflict-of-laws principles.

10. Changes to these terms

If these Terms change in a way that matters, we'll update the date at the top of this page. For an active engagement, the terms in place when the SOW was signed apply for that engagement unless both sides agree otherwise.

11. Contact
